The software CD is probably only for people without Win XP, or for people who want a customized browser and that crap.
I got one with my SBC Yahoo! and it did install a connection monitoring agent. I don't need it though, I just don't get instant messages telling me when they're taking my area's service offline for maintenance. (When I first got DSL there was a lot of linework in the neighborhood and I did have a lot of short outages).
